License Agreement

This End-User License Agreement (“Agreement”) is between you (or your organization, “you”) and Octarq Co. (“we”) and governs the Octarq Pro and Elite software (“Licensed Software”). The open-source octarq core is separately licensed under the MIT License and is not covered here.

Subject to your payment and compliance, we grant you a non-exclusive, non-transferable, worldwide license to install and run the Licensed Software for your own business or that of your organization, for as long as your license is valid (per your plan’s term).

Your license is unlocked by a signed key tied to your email and tier. The key is for your organization’s use. You will not share, publish, or resell it.

You may not: (a) redistribute, sublicense, sell, or host the Licensed Software as a service for third parties; (b) remove or circumvent the licensing mechanism; (c) reverse engineer except to the extent that restriction is prohibited by law.

You install and operate the Licensed Software on your own infrastructure. You are solely responsible for your deployment, security, and data. We have no access to your instance or its data.

Elite AI features use your own third-party model provider via your API key. Your use of that provider is governed by the provider’s terms; we are not responsible for it, and we do not mark up or intermediate inference.

Your license entitles you to updates released during your active term. We may change the Licensed Software’s features over time.

This license ends if your subscription lapses or you breach this Agreement. On termination you must stop using the Licensed Software; the open-source core remains available under MIT.

The Licensed Software is provided “as is”. Our warranty disclaimer and liability cap in the Terms of Service apply to this Agreement.

This Agreement is governed by the laws of the State of California, United States.
